SUBSCRIPTION TERMS (SaaS)

These Subscription Terms govern access to the "Optique" cloud service (SaaS) provided by TinyCIO Inc. By registering or paying, you accept these Terms in full.
TinyCIO Inc., a Wyoming corporation (the "Provider"), offers any individual or entity (the "Subscriber") access to the "Optique" service.
1. Definitions
"Optique" Service — cloud software (SaaS) accessible at optique.tinycio.com and via the Customer Portal, for optical-retail automation. Subscription — the right to use the Service on the selected plan during the paid period, with automatic renewal unless turned off. Plan — features, limits, and price (Plans schedule, TC-OPT-COM-PLANS). Onboarding Services — optional paid setup/customization, not included in the Subscription (§9).
2. Acceptance; self-service
2.1. The Provider grants a non-exclusive license to use the Service over the Internet per the Plan; the Subscriber pays the Subscription.
2.2. Acceptance occurs by registering an account, checking "I agree," paying (including linking a card), or starting to use the Service.
2.3. The Service is self-service: by default, only the SaaS portal for optical stores, without individual onboarding.
3. Registration; access
3.1. The Subscriber registers with accurate information and is responsible for its credentials and all activity under its account. Access is enabled after payment (or trial activation, if the Plan provides one). The Provider may use cloud infrastructure providers and subcontractors.
4. Payment
4.1. By card (linked, with automatic charges each renewal period — recurring payments, §5) or by bank/wire transfer against invoice (entities). Prices are exclusive of taxes.
5. Automatic renewal and recurring payments (please read)
5.1. YOUR SUBSCRIPTION AUTOMATICALLY RENEWS at the end of each period, and your linked payment method will be automatically charged the then-current Plan price, until you cancel.
5.2. By linking a card, you authorize recurring charges without separate confirmation for each charge. Card data is held by the payment processor; the Provider does not store it.
5.3. How to cancel: you may turn off auto-renewal and remove your card at any time in the Customer Portal. Cancellation takes effect at the end of the current period; the current paid period is not interrupted and is non-refundable except as stated in TC-OPT-COM-REFUND or required by law.
5.4. If a charge fails, the Provider may retry and/or suspend access until payment.
5.5. We will notify you at least 14 days before any price change takes effect on renewal. Where required by applicable automatic-renewal laws, we will provide the disclosures and renewal reminders mandated by law.
6. Term; cancellation; refunds
6.1. The agreement runs from acceptance for the paid period and renews per §5. Refunds are governed by TC-OPT-COM-REFUND. Mandatory consumer-cancellation rights in your jurisdiction apply notwithstanding these Terms.
7. Subscriber Data (roles)
7.1. Data the Subscriber enters into the Service about its customers ("Subscriber Data") is processed by the Provider as a processor/service provider; the Subscriber is the controller/business. See the Data Processing Addendum (TC-OPT-COM-DPA). Processing of the Subscriber's own data is governed by the Privacy Policy (TC-OPT-COM-PRIVACY).
8. Warranties; liability
8.1. The Service is provided "AS IS" and "AS AVAILABLE," with all warranties disclaimed to the maximum extent permitted. The Provider's aggregate liability is limited to the Subscription fees for the billing period in which the event arose; indirect and consequential damages and lost profits are excluded. The Subscriber is responsible for Subscriber Data and for obtaining its customers' consents.
9. Onboarding Services (optional)
9.1. On request, the Provider may provide paid setup, migration, customization, or training, not included in the Subscription and billed separately; the TinyCIO Inc. Terms of Service (TC-COM-TOS-MAIN) apply to matters not covered here.
10. Changes; governing law; arbitration
10.1. The Provider may modify these Terms and Plans by posting the new version at least 10 days (14 for material changes) before it takes effect. 10.2. Governed by Wyoming law; the informal-resolution, binding arbitration, and class-action waiver provisions of TC-COM-TOS-MAIN apply. Nothing limits non-waivable consumer rights.
